第一章  概述

第一条  淘宝中国控股有限公司(下称“天猫国际”) 依据《天猫国际网站用户协议》、《天猫国际商户服务协议》制定本服务条款规则(下称“本规则”),请您仔细阅读并遵守。本规则阐述之条款和条件作为《天猫国际网站用户协议》、《天猫国际商户服务协议》之补充协议,具备同等法律效力。本规则适用您使用天猫国际网站(所涉网站为 :www.tmall.hk)所提供的电子市场贸易和交流的各种工具和服务(下称“服务”)。

Chapter 1 Overview

Article 1 Taobao China Holdings Limited (hereinafter referred to as “Tmall Global” ), in accordance with the “Tmall Global Website Users Agreement” and the “Tmall Global Business Services Agreement”, formulate these services terms (hereinafter referred to as these “Rules”), please carefully read and comply with these Rules. 

The terms and conditions set forth in these Rules are supplementary agreements to the “Tmall Global Website User Agreement” and the “Tmall Global Business Services Agreement”, and possess the same legal effect. These Rules apply to the various tools and services  used in electronic market transactions and exchanges provided by the Tmall Global website (website: www.tmall.hk) (hereinafter referred to as the “Services”). 

第二条  接受条款

Article 2 Acceptance of the Terms

(一)您以任何方式进入天猫国际网站并使用服务即表示您已充分阅读、理解并同意接受本规则的条款和条件;

Your access to the Tmall Global website and use of its Services will be deemed that you have fully read, understood and accept the terms and conditions of these Rules;

(二)本规则内容包括规则正文,本规则提及的所有其他协议或规则,及天猫国际已经发布或将来可能发布的各类规则、规范、标准。所有规则、规范、标准为本规则不可分割的一部分,与规则正文具有同等法律效力;

The content of these Rules include the main text, all other agreements or rules mentioned in these Rules, and the various rules, regulations, and standards that have been issued or may be issued in the future by Tmall Global. All rules, regulations and standards are an integral part of these Rules, and have the same legal effect as the main text of these Rules;

(三)天猫国际有权根据业务需要酌情修订任何条款,并以网站公告的形式进行更新,不再单独通知予您。经修订的条款一经在天猫国际网站公布,即产生效力。如您不同意相关修订,请您立即停止使用服务。如您选择继续使用服务,则将视为您已接受经修订的条款,当您与公司发生争议时,应以最新的条款为准;

Tmall Global has the right to amend any terms in accordance with its business needs, and will amend the Rules by posting the revised and restated Rules at the website, and will not notify you separately. If you do not agree with the revised Rules, please immediately cease use of the Services. If you continue to use the Services, you will be deemed to have accepted the revised and restated Rules. In the event of dispute between you and Tmall Global, the latest terms will prevail; 

(四)用户应遵守相关国家及地区法律、行政法规、部门规章等规范性文件。对任何涉嫌违反国家法律、行政法规、部门规章等规范性文件的行为,本规则已有规定的,适用本规则;本规则尚无规定的,天猫国际有权酌情处理。但天猫国际对用户的处理不免除用户应尽的法律责任。

Users must comply with the relevant national and regional laws, administrative regulations, departmental rules and other regulatory documents. For any alleged violation of national laws, administrative regulations, departmental rules and other regulatory documents, if these Rules have provisions governing such, these Rules will apply; if these Rules do not have provisions governing such,Tmall Global will have the right to handle the violation with discretion. However,Tmall Global’s discretionary handling of such violations does not relieve a user of their legal responsibilities.

第三条  定义Article 3 Definitions

(一)天猫国际网站,域名为tmall.hk;淘宝网,域名为taobao.com;天猫,域名为tmall.com;

The domain name for the Tmall Global website is tmall.hk; the domain name for Taobao Marketplace is taobao.com; the domain name for Tmall.com Platform is tmall.com;

(二)用户:指天猫国际网站服务使用者;

Users: refers to the users of Tmall Global website Services;

(三)会员:指与天猫国际签订《天猫国际网站用户协议》或/和《天猫国际商户服务协议》并完成注册流程的用户;

Member: refers to a User who has executed the “Tmall Global Website Users Agreement” or/and the “Tmall Global Business Services Agreement”, and has also completed the registration process.

(四)买家:指在天猫国际网站上浏览或购买商品的会员;

Buyer: refers to a Member who browses or purchases goods from the Tmall Global website; 

(五)卖家:指在天猫国际上发布商品的会员,天猫国际卖家也称为“商家”; 

Seller: refers to a Member who posts goods on Tmall Global, Tmall Global Sellers are also referred to as “Merchants”; 

(六)拍下:指买家在天猫国际上点击并确认购买的行为;

Bid: refers to the act of a Buyer making a purchase by clicking and confirming the purchase;

(七)订单:指买家向单一商家同一时间拍下单款或多款商品的合约。订单中针对任一款商品的内容构成独立的交易;

Order: refers to a contract that involves a Buyer bidding one or several goods from one Merchant simultaneously. Each type of good in the order will constitute a separate transaction; 

(八)商品发布数量:指商家在天猫国际上出售中及在线上仓库中商品款数的总和;

The amount of goods distributed: refers to the total sum of the goods sold and stored at the online warehouse on Tmall Global by a Merchant;  

(九)节点处理:指当会员违规扣分累计达到一定分值时而被执行处理的过程;

Enforcement Action: refers to the enforcement process undertaken when the points deducted as a result of a Member’s violation of the Rules have accumulated to a certain level;

(十)店铺装修区:指店铺招牌、宝贝分类、公告栏、促销区、广告牌等店铺相关模块;

Store decoration zone: refers to store signs, classification of goods, bulletin boards, promotion areas, advertisement signs and other store related modules;

(十一)成交:指买家在天猫国际上拍下商品并成功付款到支付宝;

Transaction: occurs when a Buyer bids for a good on Tmall Global and successfully makes payment via Alipay; 

(十二)下架: 指将出售中的商品转移至线上仓库。

Take off the shelf: refers to the transfer of goods being sold to the online warehouse. 

第二章  注册

第四条  服务使用对象:您确认,在您完成注册程序或以其他公司允许的方式实际使用服务时,您应当是具备完全民事权利能力和与所从事的民事行为相适应的行为能力的人或任何法律主体。  若您不具备前述主体资格,请勿使用服务,否则您应承担因此而导致的一切后果,且公司有权注销您的账户,并向您索偿。如您代表一家公司或其他法律主体在天猫国际网站登记成为会员或卖家,则您声明和保证,您有权使该公司或该法律主体受本协议条款的约束。

Chapter 2   Registration

Article 4 User of the Services: You confirm that, when you complete the registration process or use the Services by other means permitted by another company, you are a person or legal entity with full legal capacity and you possess the ability to perform the relevant legal actions that you purport to undertake. If you do not possess the foregoing capacity, please do not use the Services or you will be liable for all consequences as a result and Tmall Global will have the right to cancel your account and claim damages against you. If you register as a Member or Seller of the Tmall Global website on behalf of a company or other legal entity, then you represent and warrant that you have the authority to procure such company or legal entity to be bound by these Rules. 

第五条  天猫国际网站买家:您了解并同意,在完成相应激活及授权流程后,您可以通过您的淘宝账户(参见《淘宝平台服务协议》)直接登录天猫国际网站(www.tmall.hk),无需重新注册。您在此明确授权,您的账户信息在您授权成功时,授权天猫国际披露给所有阿里巴巴集团网站(下称为“阿里网站”)并同时授权阿里网站使用,以使您更便捷地使用阿里网站服务。

Article 5 Buyers of the Tmall Global website: You understand and agree that, upon completion of the activation and authorization process, you may directly login to the Tmall Global website (www.tmall.hk) through your Taobao account (please refer to the the “Taobao Marketplace Services Agreement”) without separate registration. You hereby expressly authorize Tmall Global, upon your successful authorization, to disclose your account information to all Alibaba Group websites (“Ali Websites”) and simultaneously authorize the Ali Websites to use of such information, making it more convenient for you to enjoy the services provided by the Ali Websites. 

第六条  天猫国际网站卖家:

Article 6 Sellers of the Tmall Global website:

(一)卖家需满足以下条件,才有权使用服务

 A Seller is only entitled to use the Services upon satisfying the following conditions:

1. 卖家及其销售的商品符合当年度的《天猫国际招商标准》;

The Seller and the goods it sells conforms with the “Tmall Global Merchant Standards” of that year; 

2. 卖家有效签署《天猫国际商户服务协议》及其相关附属协议;

The Seller effectively executes the “Tmall Global Business Services Agreement” and other related supplemental agreements;

3. 卖家符合任何公司按情况要求的其他合理条件。

The Seller satisfies any other reasonable requirements requested by Tmall Global in accordance with the circumstances. 

(二)卖家保证:

The Seller warrants that:

1. 所有商品均属中国大陆境外(香港特别行政区、澳门特别行政区和台湾被视为中国大陆境外)直采,是海外原装正品;

All goods originate and are procured from places outside of Mainland China (Hong Kong Special Administrative Region, Macau Special Administrative Region and Taiwan are regarded as outside of Mainland China), and are original genuine overseas goods;

2. 卖家的注册地为中国境外;

Tts  place of registration is outside of Mainland China;

3. 向买家提供当地指定退货地点及正规退货渠道,即商品销往中国大陆的商家需提供中国大陆的指定退货地点;商品销往香港的商家需提供香港的指定退货地点;商品销往台湾的商家需提供台湾的指定退货地点。

3.Offer designated local return addresses and regular return channels to buyers, which means that a merchant selling commodities to Mainland China should offer a designated return address in Mainland China; a merchant selling commodities to Hong Kong should offer a designated return address in Hong Kong; and a merchant selling commodities to Taiwan should offer a designated return address in Taiwan.

4.应委托一家在境内办理工商登记的企业,由其在海关办理注册登记,承担如实申报责任,依法接受相关部门监管,并承担民事连带责任。

It will entrust an enterprise that has handled the formalities for industrial and commercial registration in China to go through registration formalities at Customs, assume the responsibility of truthful declaration, accept the supervision by relevant departments in accordance with the law, and assume the civil joint and several liability.

第七条  账户安全:您须自行负责对您的淘宝账户及天猫国际网站登录名、昵称和密码保密,且须对该登录名、昵称和密码下发生的所有活动(包括但不限于信息披露、发布信息、网上点击同意或提交各类规则协议、网上续签协议或购买服务等)承担责任。您同意:(a) 如发现任何人未经授权使用您的淘宝账户或天猫国际网站登录名、昵称和密码,或发生违反保密规定的任何其他情况,您会立即通知天猫国际,并授权天猫国际将该信息同步给阿里网站;及 (b) 确保您在每个上网时段结束时,以正确步骤离开网站。天猫国际不能也不会对因您未能遵守本款规定而发生的任何损失或损毁负责。您理解天猫国际对您的请求采取行动需要合理时间,天猫国际对在采取行动前已经产生的后果(包括但不限于您的任何损失)不承担任何责任。除非有法律规定或司法裁定,且征得天猫国际的同意,否则,您的淘宝账户和密码不得以任何方式转让、赠与或继承。

Article 7 Account safety: You are solely responsible for the confidentiality of your Taobao account and Tmall Global website login name, nickname and password, and are responsible for all activities conducted under your login name, nickname and password (including but not limited to, information disclosure, posting information, consent by clicking ‘agree’ or ‘submit’ to various rules and agreements online, or renewal of agreements or purchasing services online etc.) You agree: (a) that if you discover any unauthorized use of your Taobao account or Tmall Globalwebsite login name, nickname or password, or any other circumstances that violate rules of confidentiality, you will immediately notify Tmall Global, and authorize Tmall Global to notify the Ali Websites of such; and (b) to ensure that correct steps are taken to logout of the website at the end of each session. Tmall Global cannot and will not be responsible for any loss or damage that arises out of your failure to comply with this provision. You understand that it will take a reasonable period of time for Tmall Global to take action and respond to your request. Tmall Global will not be liable for consequences that occur prior to its taking of action (including but not limited to any loss incurred by you). Unless there are laws or judicial decisions to that effect and with the consent of Tmall Global, your Taobao account and password must not be the subject of any transfer, gift or inheritance.  

第八条 商家若发生以下任一情形,天猫国际有权清退:

Article 8 Tmall Global shall have the right to clear any shop owners if any of the following circumstances occurs:

(一)商家违反《天猫国际招商标准》的;

(1) Shop owners violate the Tmall Global Merchant Acceptance Standards;

(二)严重违规扣分达四十八分。

(2) Penalty point due to serious violations reaches 48.

第三章  交易

Chapter 3 Transactions

第九条  商家应当按照天猫国际系统设置的流程和要求发布商品。

Article 9 Merchants must post goods in accordance with the procedures and requirements ofTmall Global’s system settings.

第十条  商家应遵守天猫国际“服务承诺”,包括但不限于“正品保障”、“海外直供”及“当地退货”等。

Article 10 Merchants must comply with Tmall Global’s “Service Pledge”, including but not limited to “overseas genuine guaranteed goods”, “directly supplied from overseas” and“local return” etc. 

第十一条  商家的会员名、店铺名的命名应当严格遵守《天猫国际店铺命名规范》。

Article 11 The selection of a Merchant’s member name and store name must strictly comply with the “Tmall Global Rules on Selection of Store Names”.

第十二条  会员应当遵守跨境交易所涉国家与地区商品出入境相关法律法规,履行相关协助与配合义务。

Article 12 Members must comply with the relevant import and export laws and regulations of countries and regions involved in cross-border transactions, and must fulfill the relevant obligations of assistance and cooperation.

第十三条  交易流程:您同意遵守以下在天猫国际网站的交易规定:

Article 13 Transaction procedures: you agree to comply with to the following transaction rules of the Tmall Global website:

(一)所有天猫国际网站会员应当按照天猫国际网站系统设置的交易流程进行交易;

 All Members of the Tmall Global website must trade in accordance with the transaction procedures of Tmall Global website’s system setting. 

(二)自买家拍下起24小时内未付款的,交易关闭;买家拍下“官网直供”标识的商品起两小时内未付款的,交易关闭;自买家支付成功后的30天内,因买家原因未提供有效身份证信息,或提供的身份证信息与收件人姓名不一致,导致商家无法发货的,交易关闭;由于买家购买跨境电子商务零售进口商品的个人年度消费已超人民币2.6万限额,导致商家无法正常发货的,交易关闭。

Transaction shall be closed under the following circumstances: the buyer fails to make the payment within 24 hours after submitting the order; the buyer fails to make the payment within 2 hours after submitting the order of a product marked with “Official Supply”; the shop owner cannot deliver the product within 30 days of payment due to the fact that the buyer fails to provide valid ID information or that the provided ID information does not match the recipient’s name; the shop owner cannot deliver the product due to the fact that the buyer has exceeded the individual annual purchase limits of RMB 26,000 on cross-border e-commerce retail imports.

(三)买家自付款之时起即可申请退款。自买家申请退款之时起两天内卖家仍未点击发货的,天猫国际网站通知支付宝退款给买家;

A Buyer may apply for a refund at any time after payment. If a Seller fails to click “deliver goods” within two (2) days of the Buyer’s refund application, the Tmall Global website will notify Alipay to make a refund to the Buyer;

(四)自卖家在天猫国际网站确认发货之时起,买家未在快递、EMS安排后的二十天内确认收货且未申请退款的,天猫国际通知支付宝打款给卖家;

After a Seller confirms the dispatch of goods on the Tmall Global website, if the Buyer does not acknowledge receipt of goods or apply for a refund within twenty (20) days after courier or EMS arrangements have been made, Tmall Global will notify Alipay to release payment to the Seller;

(五)买家申请退款后,依以下情况分别处理:

A Buyer’s application for refund will be handled in the following manner:

1.卖家拒绝退款的,买家有权要求天猫国际介入或确认收货。买家在卖家拒绝退款后七天内未操作的,退款流程关闭,交易正常进行;Where a Seller refuses to refund, the Buyer has the right to requestTmall Global’s intervention or to confirm receipt of the goods. If the Buyer takes no action within seven (7) days of the Seller’s refusal to make a refund, the refund process will be closed and the transaction will proceed as normal; 

2. 卖家同意退款或在三天内未操作的,且不要求买家退货的,天猫国际通知支付宝退款给买家;

If a Seller agrees to make a refund or fails to take action within five (5) days and does not request the Buyer to return the goods, Tmall Global will notify Alipay to make a refund to the Buyer.

3. 卖家同意退款或三天内未操作的,且要求买家退货的,则按以下情形处理:

If a Seller agrees to make a refund or fails to take action within five (5) days and requires the Buyer to return the goods, the request will be handled in the following manner:

1) 买家未在七天内点击退货的,退款流程关闭,交易正常进行;

If the Buyer does not click “return” within seven (7) days, the refund process will be closed and the transaction will proceed as normal;

2) 买家在七天内点击退货,且卖家确认收货的,天猫国际通知支付宝退款给买家;

If the Buyer clicks “return” within seven (7) days and the Seller confirms receipt of the goods, Tmall Global will notify Alipay to make a refund to the Buyer;

3) 买家在七天内点击退货,通过快递退货十天内/平邮退货三十天内,卖家未确认收货的,天猫国际通知支付宝退款给买家。

If the Buyer clicks “return” within seven (7) days but the Seller has not confirmed the receipt of goods within ten (10) days in the case of returns by courier / thirty (30) days in the case of return by mail, Tmall Global will notify Alipay to make a refund to the Buyer.

第十四条  评价 

Article 14 Review

(一)买卖双方可基于真实的交易在交易成功后15天内发布与交易的商品或服务相关的信息,开展相互评价。天猫国际网站评价工具包括“店铺评分”和“评论内容”,“评论内容”包括“文字评论”和“图片评论”。

Based on real transactions, the seller and buyer may release information on items or services and make mutual comments  within 15 days of the successful transaction. The comment tools on Tmall Global include “store rating” and “comment content”. (“comment content” includes “text comment” and “picture comment”).

(二)店铺评分由买家对卖家作出,包括宝贝与描述相符、卖家服务、跨境物流三项。每项店铺评分均为动态指标,系此前连续六个月内所有评分的算术平均值。买家若完成对卖家店铺评分中宝贝与描述相符一项的评分,则其信用积分增加一分。

Store review is conducted by a Buyer on the Seller, and includes review of three (3) aspects: the conformity of the good with its description, the Seller’s service attitude, cross-border logistics. Each aspect of store rating is a dynamic index calculated through the average rating of all reviews for the previous six (6) months. If a Buyer completes a review that the goods received conform with its description, the credit rating of the Buyer will be increased by one (1) point.

(三)每个自然月,相同买、卖家之间交易,卖家店铺评分仅计取前三次。 店铺评分一旦做出无法修改。 

For each calendar month, only the first three (3) transactions between the same Buyer and Seller will be counted towards the review. Store ratings cannot be amended once they are submitted.

(四)自交易成功之日起一百八十天(含)内,买家可在作出卖家店铺评分后追加评论,追加评论的内容不得修改。卖家可对追加评论的内容进行解释,追加评论不影响卖家的店铺评分。

 Within one hundred and eighty (180) days from the date of successful transaction (inclusive), a Buyer may conduct additional reviews after completing the initial review of the Seller, additional reviews cannot be amended once submitted. The Seller may provide an explanation in response to the additional reviews. Additional reviews do not affect a Seller’s store rating. 

(五)被评价人可在评价人作出评论内容和/或追评内容之时起的30天内作出解释。

The reviewed person can make explanations within 30 days after a reviewer makes reviews and/or additional reviews. 

(六)天猫国际可基于消费者体验、卖家经营及平台运营需要,调整天猫国际评价工具适用范围或相关计算逻辑,并将提前通知会员。

Tmall Global can adjust its application scope of comment tools and related algorithm logic, and notify members in advance, based on consumer experience, seller operation and platform operational needs.

(七)为确保评价内容能为消费者购物决策提供可靠的依据,反映商品或服务的真实情况,买卖双方通过天猫国际评价工具发布评价的,其评价应当与交易的商品或服务具有关联性,且合法、客观、真实,买卖双方不得利用天猫国际评价工具侵害相关方合法权益。

In order to ensure that the comment content can provide a reliable reference for consumers’ shopping decisions and reflect the real situation of the items or services, the comments released by buyers and sellers through the Tmall Global comment tool should be relevant to the items or services of the transaction, and be legal, objective, and real. Buyers and sellers shall not infringe the legitimate rights and interests of related parties using the Tmall Global comment tool.

(八)天猫国际将基于有限的技术手段,对以下不当使用评价工具发布与评价原则不符的行为作出处理,包括屏蔽评论内容、评分不累计等处理措施:

Tmall Global will deal with the improper use of comment tools below that are inconsistent with the comment principles, based on limited technical means, including blocking comment contents, non-accumulative scores, etc.

(1)《天猫国际服务条款规则》中规定的发布违禁信息、骗取他人财物、虚假交易、滥发信息等违规行为所涉及的交易;

Transactions involve the release of prohibited information, fraudulent use of other people’s property, fraudulent transactions, spamming of information, etc., as stipulated in the Tmall Global Terms of Service Rules;

(2)买家、同行竞争者等会员被发现以给予负面评论内容等方式谋取额外财物或其它不当利益的恶意行为所对应的交易;

Transactions buyers, competitors, and other members are found to be responsible for malicious behaviors that seek to obtain additional property or other improper benefits in the form of negative comments;

(3)包含辱骂、泄露信息、污言秽语、广告信息、无实际意义信息、色情低俗内容或其他有违公序良俗的评论内容的交易;

Transactions that contain insulting, information disclosure, filthy speech, advertising information, non-informative content, pornographic vulgar content, or other contents that violate public order and good morals;

(4)天猫国际排查到的其他异常的交易。

Other abnormal transactions identified by Tmall Global.

除前述违规处理外,天猫国际可视情形对违规会员采取身份验证、屏蔽评论内容、评分不累计、限制使用评价工具 、限制买家行为等处理措施。

In addition to the aforementioned violations, Tmall Global may deal with members violating rules in ways such as authenticating identity, blocking comment content, not accumulating the scores, restricting the use of comment tools, and restricting buyers behavior.

(九)评分不累计后,天猫国际不会针对剩余评价重新计算评分。

After the score becomes non-cumulative, Tmall Global will not recalculate the score for the remaining comments.

(十)会员须在交易对方作出评价的30天内进行投诉;未在规定时间内投诉的,不予受理。

Members shall make a complaint after the comment is made by the counter-party within 30 days; if the complaint is not filed within the time limit, it will not be accepted.

第十五条  您同意并了解, 天猫国际不涉及任何买家与卖家因交易而产生的法律关系及法律纠纷,不会且不能牵涉进交易各方的交易当中。您授权并同意,所有在天猫国际网站上发生的交易纠纷根据您的申请由天猫国际根据《天猫国际争议处理规范》提供调解处理服务。

Article 15 You understand and agree that Tmall Global is not involved in any legal relationship and legal dispute arising from the transaction between any Buyer and Seller and it will not and cannot be involved in the transactions between the parties. You authorize and agree that upon your application, all disputes arising out of transactions on the Tmall Global website will be subject the dispute handling provided by Tmall Global in accordance with the “Tmall GlobalDispute Resolution Rules”. 

第四章  市场管理

Chapter 4 Market Management 

第一节  市场管理措施

Section 1 Market Management Measures 

第十六条  为了提升消费者的购物体验,维护天猫国际市场正常运营秩序,天猫国际按照本规则规定的情形对会员及其经营行为采取以下临时性市场管控措施: 

Article 16 In order to enhance the shopping experience of consumers and maintain the normal market operation and order of Tmall Global, Tmall Global will, in accordance with these Rules, take the following temporary market control measures against Members and their business operations:

(一)警告:是指天猫国际通过口头或书面的形式对会员的不当行为进行提醒和告诫;

Warning: refers to oral or written reminders and warnings issued by Tmall Global with regard to a Member’s improper conduct;

(二)商品下架:是指将会员出售中商品转移至线上仓库;

 Taking goods off the shelf: refers to the transfer of goods being sold to the online warehouse;

(三)单个商品搜索降权:是指调整商品在搜索结果中的排序;

 Downgrading a single good in search results: refers to the adjustment of the order of goods appearing in search results;

(四)全店商品搜索降权:是指调整会员店铺内所有商品在搜索结果中的排序;

 Downgrading all goods of a store in search results: refers to the adjustment of the order of all goods of a Member’s store appearing in search results;

(五)单个商品搜索屏蔽:是指商品在搜索结果中不展现;

Blocking a single good in search results: means that a good will not be visible in search results;

(六)单个商品单一维度搜索默认不展示:是指商品信息在按价格、信用、销量等单一维度的搜索结果中默认不展现,但可经消费者主动选择后展现;

 Not showing results of a single good in search results of a particular criterion: means that a good will not be visible under the default setting of search results by criteria such as price, credit rating, sales volume etc. but the good will be visible if the customer selects it;  

(七)全店商品单一维度搜索默认不展示:是指会员店铺内所有商品在按价格、信用、销量等单一维度的搜索结果中默认不展现,但可经消费者主动选择后展现;

 Not showing results of all goods of a store in search results of a particular criterion: means that all goods of a store will not be visible under the default setting of search results by criteria such as price, credit rating, sales volume etc. but the goods will be visible if the customer selects it;  

(八)限制参加营销活动:是指限制商家参加天猫国际、淘宝网及天猫官方发起的营销活动;

Restrictions on participating in marketing activities: refers to restricting a Merchant from participating in official sales activities conducted by Tmall Global, Taobao Marketplace and Tmall.com Platform.

(九)单个商品监管:是指在一定时间内商品信息无法通过搜索、商品链接等方式查看;

Single good supervision: means information of a good will not be visible in search results, direct links to the store or good etc. for a certain period of time;

(十)店铺监管:是指在一定时间内会员店铺及店铺内所有商品信息无法通过搜索、店铺或商品链接等方式查看;

Store supervision: means information of the Member store and all its goods will not be visible in search results, direct links to the store or goods etc. for a certain period of time;

(十一)支付违约金:是指根据协议约定或本规则规定由商家向买家和/或天猫国际支付一定金额的违约金。

Payment of compensation: means payment of a certain amount of compensation by a Merchant to the Buyer and/or Tmall Global in accordance with the agreement or these Rules.

(十二)商家绑定的国际支付宝账户的强制措施:是指对与商家的天猫国际账户绑定的国际支付宝账户采取的限制措施,包括但不限于取消收款功能、取消提现功能、禁止余额支付、交易账期延长、交易暂停、停止国际支付宝服务等。

Restrictive measures against a Merchant’s Alipay International account: refers to restrictive measures imposed on an Alipay International account that is linked to the Merchant’s Tmall Global account, including but not limited to, the cancellation of fund collection functions, cancellation of cash-out functions, prohibition of payments from the balance, extension of trading account period, trading suspension, suspension of Alipay International services etc.

第二节  市场管理情形

Section 2 Market Management Conditions

第十七条  商家应积极提升自身经营状况,为消费者提供高品质的商品及优质的服务。对于符合商品品质好、服务质量高等情形的商家,天猫国际会适当给予鼓励或扶持的措施。

Article 17 Merchants must actively improve their operating conditions in order to provide consumers with high quality goods and services. Tmall Global will offer encouragement or appropriate support to Merchants who offer good quality goods and high quality services.

第十八条  会员应遵照天猫国际交易流程的各项要求进行交易,商家应合理保障买家权益。

会员如发生或可能即将引发危及交易安全或天猫国际账户安全的行为,天猫国际将依照其行为并结合事件的紧急、严重程度采取国际支付宝账户强制措施、关闭店铺、店铺监管、限制发货、限制网站登录、限制使用阿里旺旺、限制发送站内信、延长交易超时、限制买家行为、全店商品屏蔽及全店商品搜索降权等交易安全保护措施对其进行临时性的市场管控,直至天猫国际确认风险基本可控后予以部分或全部解除管控。

Article 18  Members shall conduct transactions in accordance with the requirements of the Tmall Global transaction process. Merchants shall act within reason to protect the interests of buyers.

If a member compromises, or might soon cause a compromise of transaction security or Tmall Global account security, Tmall Global will take Alipay account enforcement measures in accordance with the urgency and severity of the incident, including: closing stores, supervising stores, restricting shipments, restricting website login, restricting AliWangWang use, restricting the sending of messages within the site, extending transaction timeout, limiting buyer behavior, blocking and demoting the store’s products in search results, etc. Only after Tmall Global confirms that the risks are under control shall some or all of the security measures be released.

 第十九条  经因国家政策调整或新闻媒体曝光、质监部门等行政管理部门通报,系质量不合格的线下某一品牌、品类、批次的商品,或其他要求协查的商品及店铺,及与天猫国际官方抽检到的特定商品相同的商品或将依照其情形严重程度,采取限制发布商品、下架商品、删除商品、商品监管、店铺监管、店铺屏蔽等处理措施对其进行临时性的市场管控,直至查封账户。

Article 19  The offline commodities of certain brand, category or batch which are of poor quality because of adjustment of the national policies or as exposed by the news media and reported by the quality supervision department and other administrative departments, or other commodities and stores into which assistant investigation is required, and commodities that are found the same with particular commodities in official spot check of Tmall Global will be subject to temporary market control through such measures as limiting release of, removing from shelves, deleting or supervising the commodities, or supervising or shielding the stores considering the severity of the case until the account is sequestered.

 第二十条  天猫国际商家及商品参与淘宝网、天猫、天猫国际、一淘网等其他市场的活动及展现时,应同时遵循其他市场的市场管理规定。

Article 20 Tmall Global Merchants and goods that participate in activities or exhibitions organized by Taobao Marketplace, Tmall.com Platform, Tmall Global or Etao Platform must also comply with the market management rules of those platforms.

 第二十一条  商家应根据协议约定或规则规定缴纳或补足保证金。若保证金余额不足,且经天猫国际催缴后未在十五天内缴纳或补足的,给予店铺监管,直至足额缴纳为止。

Article 21 Merchants must pay or make up the shortfall of the security deposit according to the relevant agreements or rules. If the security deposit balance is insufficient and a Merchant fails to pay or make up the shortfall within fifteen (15) days of Tmall Global’s reminder for payment, store supervision will be imposed until the security deposit is paid in full. 

第二十二条  商家应按照以下规定向天猫国际提供相关资质: 

Article 22 Merchants must provide relevant qualification documents to Tmall Global in accordance with the following rules:

(一)商家资质失效前,提供有效资质。

Provide valid qualification documents before the expiration of the Merchant’s qualification document.

(二)在收到商家资质复检不合格通知之日起15天内,提供合格资质。

若未按上述规定提供资质的,天猫国际将对其店铺进行店铺监管,直至提供合格资质为止。情节严重的,天猫国际有权进行清退。

Provide satisfactory qualification documents within fifteen (15) days of receiving notice that the Merchant did not pass the review for qualification.  

If a Merchant fails to provide the aforementioned qualification documents, Tmall Global will impose store supervision until satisfactory qualification documents are provided. In serious cases,Tmall Global has the right to terminate cooperation and dismiss the Merchant. 

第二十三条  商家应严格遵守《天猫国际行业标准》、《天猫国际商品发布规范》。商家若违反《天猫国际行业标准》及《天猫国际商品发布规范》中关于产品发布的规定,天猫国际将对其违规商品给予下架并给予单个商品搜索降权三天的处理,若《天猫国际行业标准》及《天猫国际商品发布规范》中另行约定违规处理措施的,从其规定。

Article 23 Merchants must strictly comply with the “Tmall Global Industry Standards” and the “Tmall Global Product Listing Rules”. If a Merchant violates any provisions relating to product listings under the “Tmall Global Industry Standards” or “Tmall Global Product Listing Rules”,Tmall Global will take the goods in violation off the shelf and downgrade such goods in search results for three (3) days,

 If there are any other provisions regarding the measures for the handling violations of the agreement in the Tmall Global Industry Standards and Tmall Global Product Publishing Standards, then follow these provisions.

第五章  违规行为及违规处理

Chapter 5 Handling of Violations and Violations of Rules

第一节  违规处理措施

Section 1 Measures Against Violations of Rules 

第二十四条  为保障消费者、经营者或天猫国际的正当权益,在会员违规处理期间天猫国际按照本规则规定的情形对会员采取以下违规处理措施: 

Article 24 In order to protect the legitimate rights and interests of consumers, operators or Tmall Global, Tmall Global will, in accordance with these Rules, adopt the following enforcement actions against Members who violate the Rules:

(一)店铺屏蔽:指在搜索、导航、营销等各项服务中对会员店铺及商品等信息进行屏蔽;

Blocking the store: refers to blocking a Member’s store information and its goods in search results, navigation, marketing and other services; 

(二)限制发布商品:指禁止天猫国际会员发布新商品;

Restriction of posting goods: refers to prohibiting a Tmall Global Member from posting new goods;

(三)限制发送站内信:指禁止天猫国际会员发送站内信;

 Restriction of web communication: refers to prohibiting a Tmall Global Member from sending and receiving web messages;

(四)限制社区功能:指禁止天猫国际会员使用淘江湖、论坛、帮派、打听等天猫国际、淘宝网及天猫的社区类服务;

Restriction of social functions: refers to prohibiting a Tmall Global Member from using social functions of Tmall Global, Taobao Marketplace and Tmall.com Platform, such as “Taojianghu”, forums, “Bangpai”, “DaTing” etc;

(五)限制买家行为:指禁止天猫国际会员在天猫国际、淘宝网及天猫购买商品;

Restriction on Buyer activities: refers to prohibiting a Tmall Global Member from purchasing goods on Tmall Global, Taobao Marketplace and Tmall.com Platform;

(六)限制发货:指禁止天猫国际会员操作处于“买家已付款,等待商家发货”状态的交易;

Restriction on dispatch of goods: refers to prohibiting a Tmall Global Member from operating transactions under the status “Buyer has paid, awaiting dispatch of goods by Seller”;

(七)限制使用阿里旺旺:指禁止天猫国际会员使用阿里旺旺;

Restriction on using Aliwangwang: refers to prohibiting a Tmall Global Member from using Aliwangwang;

(八)限制网站登录:指禁止天猫国际会员登录天猫国际网页;

Restriction of website login: refers to prohibiting a Tmall Global Member from logging into theTmall Global website;

(九)关闭店铺:指删除天猫国际会员的店铺,下架店铺内所有出售中的商品,禁止发布商品,并禁止创建店铺;

Closing down the store: refers to deleting a Tmall Global Member’s store, taking all goods for sale off the shelf, and prohibiting the Member from posting goods and establishing a new store;

(十)公示警告:指在天猫国际会员的店铺页面、商品页面、阿里旺旺界面,对其正在被执行的处理进行公示;

Public warning: refers to publishing the measures taken against a Tmall Global Member at the Member’s store page, goods page and Aliwangwang tab;

(十一)查封账户:指永久禁止会员使用违规账户登录天猫国际、淘宝网及天猫、使用阿里旺旺等工具。

Freezing the account: refers to permanently prohibiting a Member from using the account associated with the violation to login to Tmall Global, Taobao Marketplace and Tmall.com Platform and to use tools such Aliwangwang etc.

(十二)屏蔽评论内容:指信用积分和店铺评分正常累计,但在商品详情页、信用评价页等页面不展示评论内容。

Blocking comment content: refers to the normal accumulation of credits and store rating, but the comment content is not displayed on pages, such as the item detail page and credit rating page.

(十三)评分不累计:是指买卖双方交易后产生的信用积分和店铺评分不累计。

Non-cumulative scores: refers to the scores not accumulated to the credits and store ratings generated by transactions between the buyer and the seller.

(十四)限制违规/异常交易的评价工具使用,指经合理判断,交易属天猫国际定义的违规/异常行为,限制使用评价工具,以防止扰乱天猫国际信用评价体系建设。

Restriction on the use of comment tools in violating/abnormal transactions refers to the restriction on using the comment tools to the violating/abnormal behaviors defined by Tmall Global to prevent disruption of Tmall Global’s credit evaluation system.

第二节  违规处理

Section 2 Measures against Violations

第二十五条  会员发生违规行为的,其违规行为应当纠正,并扣以一定分值且公布三天。违规扣分在每年的十二月三十一日二十四时清零。

Article 25 Where a Member violates the Rules, the Member must rectify the violation, a certain amount of points will be deducted and an announcement will be posted for three (3) days. Deduction of points for violations will be cleared at 00:00 December 31st of each year. 

第二十六条  被执行节点处理的会员,当其全部违规行为被纠正、违规处理期间届满、违规处理措施执行完毕后,方可恢复正常状态。 

Article 26 Members who receive an enforcement action may only resume normal status after all violations have been rectified, expiration of the measure against violations and after measures against violations have been completed.

第二十七条  就会员的首次或者非故意实施的违规行为,天猫国际将视情形给予纠正和教育,并要求会员进行自检自查。

Article 27 Depending on the circumstances, Tmall Global will require a Member violating the Rules for the first time or unintentionally to rectify the violation, attend training and to conduct self-assessment. 

第二十八条  会员可在被违规处理之时起总计3-30天不等的时间内(天猫国际审核时间除外)通过线上违规申诉入口提交违规申诉申请,天猫国际有其他特殊规定的除外。 

Article 28 A Member may file an appeal application through the online appeal channel, within three (3) – thirty (30) days from receiving enforcement action (excluding the period of review byTmall Global), unless other special rules are provided by Tmall Global. 

第二十九条  违规行为根据严重程度分为严重违规行为及一般违规行为,两者分别扣分、分别累计、分别执行。

严重违规行为,是指严重破坏天猫国际经营秩序或涉嫌违反相关国家与地区法律法规的行为。

一般违规行为,是指除严重违规行为外的违规行为。

违规行为根据适用的范围分为通用违规行为及特殊市场违规行为,特殊市场违规行为也遵循前款规定的严重违规行为与一般违规行为划分。

Article 29 According to the severity, violations are divided into serious violations and general violations. The deduction, accumulation of points and enforcement for the two types of violations will be carried out separately.

A serious violation is a violation which severely damages the operational order of Tmall Global, or which potentially violates relevant national and regional laws and regulations.

A general violation is a violation other than a serious violation.

According to the scope of application, violations are classified into common violations and special market violations. The classification under the preceding paragraphs (serious violations and general violations) also applies to special market violations.

第三十条  天猫国际对会员的严重违规行为采取以下违规处理方式: 

Article 30 Tmall Global will impose enforcement action against a Member’s serious violation in the following manner:

(一)商家严重违规扣分累计达十二分的,给予店铺屏蔽、限制发布商品、限制创建店铺、限制发送站内信、限制社区功能及公示警告七天;

Where a Merchant’s deduction for serious violations accumulates to twelve (12) points, the Merchant will receive the following enforcement actions: blocking of store, restriction of posting goods, restriction on establishment of new stores, restriction of web communication, restriction of social functions and public warning for seven (7) days; 

(二)商家严重违规扣分累计达二十四分的,给予店铺屏蔽、下架店铺内所有商品、限制发布商品、限制创建店铺、限制发送站内信、限制社区功能及公示警告十四天;

Where a Merchant’s deduction for serious violations accumulates to twenty-four (24) points, the Merchant will receive the following enforcement actions: blocking of store, all goods to be taken off the shelf, restriction of posting goods, restriction on establishment of new stores, restriction of web communication, restriction of social functions and public warning for fourteen (14) days; 

(三)商家严重违规扣分累计达三十六分的,给予关闭店铺、限制发送站内信、限制社区功能及公示警告二十一天;

Where a Merchant’s deduction for serious violations accumulates to thirty-six (36) points, the Merchant will receive the following enforcement actions: blocking of store, restriction of web communication, restriction on social functions, public warning for twenty-one (21) days.

(四)商家严重违规扣分累计达四十八分的,对商家做清退处理。 

商家因单次违规扣分较大,导致累积扣分满足多个节点处理条件的,或在被处理期间又须执行同类节点处理的,仅执行最重的节点处理。

 Where a Merchant’s deduction for serious violations accumulates to forty-eight (48) points, the Merchant will be dismissed and have their cooperation terminated. 

Where a Merchant’s deduction for a single violation is large enough to trigger more than one set of enforcement actions, or is subject to similar enforcement actions during the execution of another enforcement action, the Merchant will be subject to the most serious set of enforcement actions only. 

(五)因商家严重违规扣分导致被限制营销活动的规则以《天猫国际营销准入基础规则》为准。

For regulations concerning merchants being restricted from marketing events due to points deductions for major violations, “Basic Regulations of Tmall Global Marketing Admittance” takes precedence.

第三十一条  天猫国际对会员的一般违规行为采取以下违规处理方式:

Article 31 Tmall Global will impose enforcement action against a Member’s general violations in the following manner:

(一)商家因一般违规扣分导致被限制营销活动的规则以《天猫国际营销准入基础规则》为准。

 (一) For regulations concerning merchants being restricted from marketing events due to points deductions for standard violations, “Basic Regulations of Tmall Global Marketing Admittance” takes precedence.

(二)商家因违反违背承诺 和/或 滥发信息的规定,除按照前款规定处理外,如累计被扣分达二十四分,则给予店铺监管七天的处理;如累计被扣分达四十八分,则给予店铺监管二十八天的处理。

(二)Where a Merchant’s deduction for  breach of undertaking or spam accumulates to twenty-four (24) points except in accordance with the provisions of the preceding paragraph,Tmall Global will  impose store supervision on Merchants for seven(7) days; Where a Merchant’s deduction for breach of undertaking or spam accumulates to forty-eight (48) points, Tmall Global will  impose store supervision on Merchants for twenty-eight(28) days.

第三节  严重违规行为

Section 3 Serious Violations

第三十二条  发布违禁信息:是指会员发布《天猫国际禁售商品管理规范》中构成严重违规行为的商品或信息。发布违禁信息的,依据《天猫国际禁售商品管理规范》的相关规定执行。

Article 32 Posting of prohibited information: refers to the posting of goods or information that amounts to a serious violation under the “Tmall Global Prohibited Goods Management Rules”. Posting of prohibited information will be handled in accordance with the relevant provisions of the “Tmall Global Prohibited Goods Management Rules”. 

第三十三条  盗用他人账户:是指盗用他人天猫国际账户或支付宝账户,涉嫌侵犯他人财产权的行为。盗用他人账户的,天猫国际收回被盗账户并使原所有人可以通过账户申诉流程重新取回账户,每次扣四十八分。 

Article 33 Misappropriation of another’s account: refers to the misappropriation of another person’s Tmall Global or Alipay account, which may infringe the property rights of another. In the case of misappropriation of another’s account, Tmall Global will retrieve the misappropriated account and allow the original owner to retrieve the account through the complaint process. Forty-eight (48) points will be deducted for each violation.

第三十四条  泄露他人信息:是指未经允许发布、传递他人隐私信息,涉嫌侵犯他人隐私权的行为。泄露他人信息的,天猫国际删除会员所泄露的他人隐私资料的信息,每次扣六分。 商家故意泄露、销售或存在其他严重侵犯他人隐私信息的,每次扣四十八分。

Article 34 Disclosure of other’s information: refers to the unauthorized release or transfer of another person’s personal data and information, which may infringe another person’s privacy. In the case of disclosure of other’s information, Tmall Global will delete such personal data and information disclosed by the Member and six (6) points will be deducted for each violation. Forty-eight (48) points will be deducted for each violation where Merchants deliberately disclose or sell other’s personal data and information or commit other serious violations in relation to another person’s personal data and information. 

第三十五条  骗取他人财物:是指以非法获利为目的,非法获取他人财物,涉嫌侵犯他人财产权的行为。骗取他人财物的,天猫国际删除用以骗取他人财物的商品或信息,针对因此产生的交易作屏蔽评论内容、评分不累计处理,每次扣四十八分。对前述骗取他人财物的受害方,天猫国际将基于有限的技术手段采取临时性保护措施,包括但不限于支付宝账户强制措施、店铺监管、限制网站登录、限制旺旺登录等。

Fraudulently obtaining property of others: refers to the act of illegally obtaining the property of others for the purpose of illegal profits, and allegedly infringing upon the property rights of others. For those who have defrauded others of property, Tmall Global will delete the corresponding items or information used, block the comment content for the resulting transaction, and not accumulating the scores. Forty-eight points will be deducted for a single violation. For the victims to the aforementioned fraud, Tmall Global will take temporary protection measures based on its limited technical means, including but not limited to Alipay account coercive measures, store supervision, restricting website login, and restricting AliWangWang login.

第三十六条  出售假冒商品:每次扣四十八分。出售假冒商品的,天猫国际删除会员所发布的假冒商品或信息。同时为了防止对公众造成不利影响,保护消费者权益,天猫国际将基于有限的技术手段采取临时性保护措施,包括但不限于支付宝账户强制措施等,同时对涉嫌违反上述情形的商家,天猫国际视情节严重程度给予店铺监管。

Article 36 Selling counterfeit goods: Forty-eight (48) points will be deducted for each violation. In the case of selling counterfeit goods, Tmall Global will delete the counterfeit good or information posted by Members. In order to prevent adverse effects to the public and to protect the rights and interests of consumers, Tmall Global will adopt temporary protective measures based on limited technological means, including but not limited to enforcement measures targeted at Alipay accounts. Tmall Global will also impose store supervision on Merchants that violate the aforementioned provisions depending on the severity of the circumstances.

第三十七条  假冒材质成份:是指商家对商品全部材质或成份信息的描述与买家收到的商品完全不符的。商家首次假冒材质成份的,扣六分;再次及以上假冒材质成份的,每次扣十二分。特定类目商家假冒材质成份的,不论是否首次,每次扣十二分。假冒材质成份的,天猫国际删除会员所发布的假冒材质成份的商品。

Article 37 Misrepresentation of material composition: refers to the situation where a Merchant’s descriptions of all materials or composition of a good is entirely inconsistent with the good received by the Buyer. A Merchant that misrepresents material composition for the first time will receive a deduction of six (6) points. A Merchant belonging to a special category that misrepresents material composition will receive a deduction of twelve (12) points, regardless of whether such misrepresentation was made for the first time. In the case of misrepresentation of material composition, Tmall Global will delete the good with misrepresented material composition posted by the Member. 

第三十八条  扰乱市场秩序:是指会员扰乱和破坏公平竞争、平等交易的市场秩序,侵害其他会员权益或对平台造成不良影响的行为;扰乱市场秩序的,每次扣二十四分;情节严重的,每次扣四十八分。天猫国际同时有权取消或收回会员获得、使用的不当利益。

Article 38 Disrupting the market order refers to behavior that members engage in that disturbs or damages the market order of fair competition and equal trading, and infringes upon other members’ rights and interests, or brings negative effects to the platform. For members who disturb the market order, 24 points will be deducted each time. For a severe violation, 48 points will be deducted each time. Tmall Global has the right to cancel or reclaim improper benefits gained or used by members.

第三十九条  发布非约定商品:是指商家通过天猫国际平台发布或出售未经天猫国际许可的品牌的商品。商家发布非约定商品的,每次扣十二分,天猫国际将对商家所发布的非约定商品或信息进行删除处理。

Article 39 Posting of unauthorized goods: refers to the posting or sale of goods of a brand not yet authorized by Tmall Global by a Merchant on the Tmall Global platform. A Merchant that posts unauthorized goods will receive a deduction of twelve (12) points for each violation. Tmall Global will delete the unauthorized goods or information posted by Merchants.

第四十条  不正当谋利:是指会员采用不正当手段谋取利益的行为,包括:

Article 40 Obtaining benefits through improper means: refers to the use of improper means by Members to obtain benefits, including:

(一)向阿里巴巴集团工作人员及/或其关联人士提供财物、消费、款待或商业机会等;

Providing valuables, spending, hospitality or business opportunities etc. to Alibaba Group employees and/or their affiliates;

(二)通过其他不正当手段谋取利益的。

Obtaining benefits through other improper means. 

会员不正当谋利的,无论是否获得利益,每次扣四十八分,天猫国际永久不向其提供或接受其提供的任何产品或服务;同时,会员的关联店铺六个月内不得参加天猫国际营销活动。

A Member who obtains benefits through improper means will receive a deduction of forty-eight (48) points for each violation, regardless of whether or not it actually received a benefit. Tmall Global will permanently cease provision of goods or services to such Merchant or to accept any of such Member’s goods or services; affiliated stores of such Member will be simultaneously restricted from participating in Tmall Global marketing activities for six (6) months. 

实施不正当谋利行为的运营服务商,天猫国际永久不向其提供或接受其提供的任何产品或服务,由该运营服务商代运营的其它店铺亦应在收到天猫国际通知之日起三个月内自营或更换运营服务商,逾期,则天猫国际将对相关店铺进行监管直至其执行完毕。

Where an operational service provider obtains benefits through improper means, Tmall Globalwill permanently cease provision of goods and services to it or accept any of its goods or services. Stores operated by such operational service provider must, within three (3) months of receiving notice from Tmall Global, switch to self-operation or engage another operation service provider, failing which Tmall Global will impose store supervision on such stores until the requirement is fulfilled. 

实施不正当谋利行为的会员有如实主动申报及/或如实积极举报情形的,天猫国际酌情给予从轻或减轻的处理措施。

If a Member obtains benefits through improper means take the initiative to report the violation and/or truthfully report the situation, Tmall Global will, at its discretion, impose a lighter or lesser enforcement action.  

自对会员进行不正当谋利调查之日起,天猫国际将限制该会员店铺及其关联店铺参加天猫国际营销活动,直至调查终结。

From the day an investigation of a Member obtaining benefits through improper means commences, Tmall Global will restrict such Member’s store and any affiliated stores from participating in marketing activities organized by Tmall Global until the investigation is completed. 

会员向阿里巴巴集团工作人员及/或其关联人士明确表达不正当谋利意图或已经开始实施不正当谋利行为,但由于会员意志以外的原因而未得逞的,构成不正当谋利未遂,每次扣十二分。有以下情形之一的,视同为不正当谋利行为:

If a Member unequivocally communicates an intention to obtain benefits through improper means to an Alibaba Group employee and/or its affiliates, or already carried out acts with the view of obtaining benefits through improper means, but due to reasons other than the Member’s intention the act was unsuccessful, such Member is liable for the attempt to obtain benefits through improper means and twelve (12) points will be deducted for each violation. 

The following will be deemed as obtaining benefits through improper means:

(一)商家为阿里巴巴集团工作人员的,每次扣四十八分;

 A Merchant is an Alibaba Group employee, forty-eight (48) points will be deducted for each violation;

(二)商家为阿里巴巴集团工作人员之关联人士且该阿里巴巴集团工作人员未依据《阿里巴巴集团商业行为准则》规定进行如实申报,每次扣二十四分,若有利用阿里巴巴集团工作人员职务便利条件的,每次扣四十八分。

A Merchant is an affiliated person of an Alibaba Group employee and such Alibaba Group employee fails to truthfully report this in accordance with the “Alibaba Group Business Conduct Rules”, twenty-four (24) points will be deducted for each violation. In the case of a Merchant taking advantage of an Alibaba Group employee’s position, forty-eight (48) points will be deducted for each violation. 

第四十一条  拖欠天猫国际贷款:是指会员自阿里巴巴金融申请并获得天猫国际贷款,到期未足额偿还贷款本息或其他费用,经阿里巴巴金融自催及委外催收仍未归还的行为。拖欠天猫国际贷款的,每次扣四十八分,该会员符合特定条件的关联店铺永久不得参加天猫国际营销活动。 

Article 41 Default on Tmall Global loan repayments : refers to a Member who has applied for and received a Tmall Global loan via Alibaba Finance and has failed to repay the loan, interests or other costs in full when it falls due after Alibaba Finance has, either by itself or through a third party, sent a reminder for repayment to the Member. In the case of default on Tmall Global loan repayments, forty-eight (48) points will be deducted for each violation. The Member’s affiliate stores that fulfill certain conditions will be permanently prohibited from participating in marketing activities organized by Tmall Global. 

第四十二条  出售非海外直供商品:商家出售非海外直供商品(海外直供解读)的,每次扣四十八分,天猫国际视情节严重程度给予店铺监管。

Article 42 Selling goods not directly supplied from overseas: In the case of selling goods not directly supplied from overseas, forty-eight (48) points will be deducted for each violation. Tmall Global will, depending on the severity of the circumstances, impose store supervision. 

第四十三条  卖家应按照天猫国际要求提供真实合法有效的申诉、资质凭证等,如卖家存在提供虚假凭证的情形,视为严重违规行为,每次扣四十八分。

Article 43 A Seller must, in accordance with requirements imposed by Tmall Global, provide genuine, legal and valid complaints, qualification documents etc., the provision of false documents by a Seller constitutes a serious violation, forty-eight (48) points will be deducted for each violation. 

第四十四条  不当注册,是指用户通过软件、程序等方式,批量注册淘宝或天猫国际账号的行为。不当注册的,天猫国际对使用软件、程序方式批量注册而成的账户每次扣四十八分。对于天猫国际排查到的涉嫌不当注册的会员,天猫国际视情节严重程度可采取限制使用阿里旺旺、限制创建店铺、限制会员登录等措施。

Article 44   Improper registration refers to the use of software, programs, or other methods to register large numbers of Taobao or Tmall Global accounts. For those improperly registering, Tmall Global will subtract 48 points for each account created through software, programs, or other methods of mass registration. For users discovered by Tmall Global’s investigations to be suspected of improper registration, Tmall Global will enact measures based on the severity of the offense, including banning the users’ use of AliWangWang, banning the privilege to create a store, banning user login etc.

第四节  一般违规行为 

Section 4 General Violations

第四十五条  发布禁售信息:发布《天猫国际禁售商品管理规范》中构成一般违规行为的商品或信息的,依据《天猫国际禁售商品管理规范》的相关规定执行。

Article 45 Spam: posting of prohibited information: refers to the posting of goods or information amounting to a general violation under the “Tmall Global Prohibited Goods Management Rules”. Posting of prohibited information will be handled in accordance with the relevant provisions of the “Tmall Global Prohibited Goods Management Rules”. 

第四十六条  滥发信息:是指商家未按本规则及天猫国际发布的其他管理内容(包括但不限于规则、规范、类目管理标准、行业标准等)要求发布商品或信息,妨害买家权益的行为,包括以下情形:

Article 46 Spam: refers to the posting goods or information by a Merchant in violation of these Rules or other management guidelines published by Tmall Global (including but not limited to rules, guidelines, category management standards, industry standards, etc.) that adversely affects the rights and interests of Buyers, which include the following scenarios:

(一)发布广告信息:在商品类、店铺装修区或天猫国际门户类页面发布以下任一商品或信息的,删除该信息;涉嫌违反以上任意一项的,每件商品或信息扣一分(但三天内累计扣分不超过七分);若在店铺装修区等其他页面发布的,每次扣四分:

 Posting advertisements: refers to any of the following goods or information posted on a goods category page, store decoration zone page or Tmall Global category page, where there is such a post, the information will be deleted;One (1) point will be deducted for each good or information that may violates any of the above provisions (the maximum accumulated points deducted within three (3) days is seven (7) points). If the erroneous information is posted on other pages such as the store decoration page, four (4) points will be deducted each instance:

1. 发布心情故事、店铺介绍、天猫国际淘宝客链接等非实际交易信息;

Posting non-transactional information such as mood statuses and stories, store introductions,Tmall Global customer links etc;

2.发布非天猫国际国际购物链接、非阿里旺旺联系方式、实体店信息、银行账号及个人支付宝账户等信息,特殊情形除外;

Posting non-Tmall Global global shopping links, non-Aliwangwang contact methods, physical store information, bank account and personal Alipay account information and other information, except under special circumstances; 

3.利用阿里旺旺等群发重复的或未经请求的天猫国际商家店铺消息、产品或服务消息等广告消息;

Sending out advertisements in the form of repeated group messages or unsolicited messages about Tmall Global Merchants, goods or services via Aliwangwang etc;

4.在商品标题、商品详情、店铺、阿里旺旺等中使用导购、团购、促销类网站的名称、LOGO等信息。

Using the name, logo or other information of shopping guides, group purchases, and promotional sales websites in a good’s subject title, description, store or Aliwangwang etc.

(二)发布重复信息

Posting duplicate information

1.店铺中同时出售同款商品两件以上的,每件商品或信息扣一分(但三天内累计扣分不超过七分),保留其中一款商品,删除其他同款商品;

Where a store simultaneously sells two or more identical goods, one (1) point will be deducted for each good or information (the maximum accumulated points deducted within three (3) days is seven (7) points). Only one item will be kept, other identical listing of the good will be deleted; 

2.开设两家以上店铺且出售同样商品的,每次扣六分,保留其中一家店铺的品牌授权,取消其他店铺的品牌授权并删除该店铺该品牌的商品。

对涉嫌违反第1项规定的商品,天猫国际将在两个工作日内进行人工排查,人工排查期内给予单个商品搜索屏蔽。

Where more than two stores selling identical goods are established, six (6) points will be deducted for each violation. The brand authorization for one of those stores will be kept while the brand authorization for other stores will be revoked and the goods of such brands will be deleted. 

For goods that may violate paragraph (1)above, Tmall Global will conduct investigation within two (2) working days. During such investigation, blocking a  single good in search results will be imposed. 

(三)发布规避信息:发布以下商品或信息的,将删除该商品或信息:

Posting non-compliant information: the following goods or information posted will be deleted:

1. 以非常规的数量单位发布商品的,每次扣一分;

Posting goods in irregular numbers, one (1) point will be deducted for each violation;

2. 刻意规避天猫国际商品SKU设置规则发布商品的,每次扣一分;

Ntentionally posting goods that do not comply with the rules for Tmall Global goods SKU settings, one (1) point will be deducted for each violation;

 3. 通过编辑商品类目、品牌、型号等关键属性使其成为另一款商品,每次扣一分。

Making it a commodity by another key attribute editing merchandise categories, brands, models, etc., 

one (1) point will be deducted for each violation. 

对涉嫌违反第(1)、(2)、(3)项规定的商品,同时给予单个商品天猫国际搜索降权直至商品整改完成后第三天恢复。

同时,天猫国际将视情节严重程度采取店铺监管、限制发布商品等处理措施。

Goods that may violate paragraphs (1) 、 (2) and(3)will be downgraded in search results until three (3) days after such goods have been rectified. 

Simultaneously,Tmall Global will simultaneously impose store supervision 、restriction of posting goods and other treatment measures depending on the severity of the 

circumstances. 

(四)发布错误描述信息:发布以下任一错误描述的商品或信息的,删除该商品或信息,在商品类页面发布的,除第(6、7)项外,每件扣一分(但三天内累计扣分不超过七分);发布第(6)项规定的商品的,第一次、第二次每件扣一分,第三次、第四次每次扣六分,第五次及以上每次扣十二分;若在店铺装修区等其他页面发布的,每次扣四分;发布第(7)项规定的商品的,每次扣四十八分;情节严重的,天猫国际有权进行清退:

Posting erroneous descriptions: in the case of posting goods or information that contain any of the following erroneous descriptions, such goods or information will be deleted. If such goods or information are posted on a goods category page, except for paragraph (6、7), one (1) point will be deducted each instance (the maximum accumulated points deducted within three (3) days is seven (7) points). For the posting of goods prescribed in paragraph (6), one (1) point will be deducted for the first two instances, six (6) points will be deducted for the 3rd and 4th instances and twelve (12) points will be deducted for the 5th and subsequent instances. If the erroneous information is posted on other pages such as the store decoration page, four (4) points will be deducted each instance;For the posting of goods prescribed in paragraph (7), forty-eight (48) points will be deducted for each violation; In serious cases, Tmall Global has the right to terminate cooperation and dismiss the Merchant. 

1. 商品信息中缺少标题、主图,或特殊类目商品缺少所售商品本身的实物图片;

The good’s information lacks a subject title, main images, or the information of a good belonging to a special category lacks of an image of the actual good;

2. 商品标题、图片、价格、物流方式、邮费及售后服务等商品要素之间明显不匹配;

Obvious inconsistency between the elements of a good such as the good’s subject title, images, price, delivery methods, delivery fee and after sales services etc.;

3. 商品标题等信息不实或者与本商品无关的;

False or irrelevant information in a good’s subject title or other information;

4. 使用虚假的好评率、店铺评分、天猫国际国际店铺类型,或使用与店铺实际信息不符的标识;

Use of fabricated favorable reviews of goods, store ratings, type of Tmall Global stores, or use of logo not in conformity with the store’s actual information;

5. 商品与所发布的类目或属性不符的;

Goods do not conform with the category or attribute under which it was posted;

6. 商品与所发布的类目或属性不符且造成严重后果的。

Goods do not conform with the category or attribute under which it was posted thereby causing serious consequences. 

7. 商品信息或商家店铺中所展示的其他信息或提交给天猫国际的信息中对商家线下实体店铺环境以及所在地址或者线下实体店铺的其他情况的描述不真实、不准确或者存在误导性,或者对政府、行业协会及其他权威机构、代言人等认证或者授权信息披露不真实、不准确或者存在误导性。 

Any product information or any information displayed on the Merchant’s storefront or otherwise provided to Tmall Global includes untruthful, inaccurate or misleading information regarding the environment, address and other aspects of the offline stores of the Merchant or any untruthful, inaccurate or misleading information with respect to the accreditation or authorization by government authorities, industry associations or other authoritative organizations or brand spokespersons.

对违反第四项中第(2)、(3)、(5)、(6)项规定的商品,天猫国际同时给予单个商品天猫国际搜索降权直至商品整改完成后第三天恢复。

For goods that four violate paragraphs (2), (3), (5) and (6), Tmall Global will impose downgrading a single good in search results until three (3) days after the goods have been rectified. 

(五)滥发其他信息  

Other Spam 

1. 除天猫国际特殊类目及特殊情形的商品外,商家在买家付款前且商品信息显示有足够库存的情况下,以任何理由表示不能在120小时内完成发货的,每次扣一分,下架该商品。

Apart from Tmall Global special categories and goods under special circumstances, if for any reason a Merchant fails to dispatch goods within one hundred and twenty (120) hours where, prior to the Buyer’s making payment, information shows that there is sufficient stock of such goods, one (1) point will be deducted for each violation and such goods will be taken off shelf.

2. 发布以下任一信息的,删除该信息:在商品类页面发布的,每件扣一分(但三天内累计扣分不超过七分);若在店铺装修区等其他页面发布的,每次扣四分:

The posting of any of the following information will be deleted: one (1) point will be deducted for each instance (the maximum accumulated points deducted within three (3) days is seven (7) points). Four (4) points will be deducted for  posts on other pages such as store decoration pages etc.

1) 代他人申请具有专属性的权利,包括申请天猫国际店铺装修市场设计师等;

Applying the rights of a specialty on behalf of others, including the application of Tmall Globalstore decoration market designers, etc.;

2) 支付宝免签约即时到帐接口。

Alipay immediate transfer without contractual agreement. 

3.发布天猫国际明令禁止的不当营销类信息的:在商品页面发布的,每件商品扣一分(但三天内累计扣分不超过七分),同时第一次、第二次下架商品,第三次删除商品;若在店铺装修区等其他渠道发布的,每次扣四分。

Publishing improper marketing information explicitly forbidden and defined by Tmall International: one point will be deducted for each product if the information is published on a product page (accumulated points within three days not to exceed 7 points), the product will be suspended for the first and second violations and the third time, the product will be removed completely; if the information is published in the store maintenance category or other pages, 4 points will be deducted for each instance.

4. 商家若发布除以上情形之外其它有违公序良俗和《天猫国际服务条款规则》、《天猫国际商户服务协议》或其他天猫国际规则的商品或信息,天猫国际可对该商品或信息进行临时性下架或删除。同时,淘宝将视情节严重程度采取店铺监管、限制发布商品等处理措施。

Where, apart from the aforementioned circumstances, there are other circumstances in relation to goods and information posted by Merchants that violates public policy, “Tmall Global Services Terms”, “Tmall Global Business Services Agreement”, or other Tmall Global rules, Tmall Global may temporarily delete such goods or information or take them off shelf. At the same time, Tmall will, depending on the severity of the situation, monitor stores, restrict product publishing and apply other measures.

第四十七条 虚假交易:是指用户通过虚构或隐瞒交易事实、规避或恶意利用信用记录规则、干扰或妨害信用记录秩序等不正当方式获取虚假的商品销量、店铺评分、信用积分等不当利益,妨害买家权益的行为。虚假交易的,天猫国际将对卖家的违规行为进行纠正,包括删除虚假交易产生的商品销量、屏蔽评论内容、评分不累计;情节特别严重的,还将下架店铺内所有商品。同时,天猫国际将按照如下规定对卖家进行处理:

Article 47 False transactions: refers to acts that compromise the interests of buyers caused by improper interests of users who obtain false item sales volume, store ratings, and credits through fictional or concealing transaction facts, circumventing or maliciously exploiting credit history rules, interfering with or impeding credit record order. As for false transactions, Tmall Global will correct the seller’s violating acts, including removing the sales volume generated by false transactions, blocking comment content, and not accumulating the scores;For extremely serious violations, all items will be removed from the store. Meanwhile, Tmall Global will deal with the seller in accordance with the following regulations:

(一)卖家第一次或第二次发生虚假交易行为:若违规交易笔数未达96笔,每次以一般违规行为扣两分;若违规交易笔数达96笔以上,每次以一般违规行为扣十二分;

 A Seller’s 1st and 2nd instance of false trading: where the number of false transactions is less than ninety-six (96), two (2) points will be deducted as a general violation for each instance.  if the number of false transactions is equal to or more than ninety-six (96), twelve (12) points will be deducted as a general violation for each instance; 

(二)卖家第三次发生虚假交易行为:若违规交易笔数未达96笔,每次以一般违规行为扣十二分;若违规交易笔数达96笔以上,视为情节特别严重,每次以一般违规行为扣四十八分;

A Seller’s 3rd instance of false trading: where the number of false transactions is less than ninety-six (96), twelve 12 points will be deducted as a general violation for each instance. If the number of false transactions is equal to or more than ninety-six (96), the violation will be deemed as a serious violation and forty-eight (48) points will be deducted as a general violation for each instance;

(三)卖家第四次及以上发生虚假交易行为,不论笔数均视为情节严重,每次以一般违规行为扣四十八分;

 A Seller’s 4th and subsequent instances of false trading: this will be deemed as a serious violation regardless of the number of false transactions, and forty-eight (48) points will be deducted as a general violation for instance;

(四)若卖家短期内产生大规模虚假交易行为,不论次数和笔数均视为情节严重,每次以一般违规行为扣四十八分,同时给予天猫国际卖家30天的全店商品淘宝网、天猫、天猫国际搜索降权;

Where a Seller engages in large-scale false trading within a short period of time: this will be deemed as a serious violation regardless of the number of instances or number of false transactions, forty-eight (48) points will be deducted as a general violation for each instance.Tmall Global will simultaneously impose downgrading all goods of a store in search results of Taobao Marketplace, Tmall.com Platform and Tmall Global on the Seller; 

(五)若卖家发生以下任一情形的,以严重违规行为扣四十八分:

If any of the following situations occur to a Seller, it will be deemed as a serious violation and forty-eight (48) points will be deducted: 

1. 累计三次以上被认定为“情节严重”的虚假交易行为;

Where the Seller has engaged in more than three (3) instances of false trading deemed to be “serious”; 

2. 违反上述第(四)项规定后,再次发生大量虚假交易行为;

Where the Seller again engages in a large-scale false trading after violation of paragraph 4 above;

3. 存在手段恶劣、行为密集、规模庞大、后果严重、恶意对抗监管等特殊情节;

Special circumstances such as malicious behavior, intensive behavior, large-scale operations, serious consequences or maliciously opposing supervision etc.; 

4. 为他人提供虚假交易服务。

Provision of false trading services to others. 

若卖家同时存在上述第(四)项和第(五)项情形,优先执行第(五)项。

Where a Seller violates paragraph 4 and 5 simultaneously, the handling of paragraph 5 will take priority. 

天猫国际对涉嫌虚假交易的商品,给予30天的单个商品淘宝网、天猫、天猫国际搜索降权。如某商品发生多次虚假交易的,搜索降权时间滚动计算。

With respect to goods that may be involved in false trading, Tmall Global will impose downgrading a single good in search results of Taobao Marketplace, Tmall.com, Tmall Global for thirty (30) days. If a certain good is involved in false trading multiple times, the period of downgrading will accumulate. 

买家如协助卖家进行虚假交易的,天猫国际将视情节严重程度采取关闭订单、新增订单不计销量和/或不开评价入口、删除违规交易产生的信用积分、信用积分清零、警告、身份验证、限制创建店铺、限制发送站内信、限制发布商品、限制网站登录、限制旺旺登录、限制买家行为、限制发起投诉、延长交易超时等处理措施。

Where a Buyer assists a Seller in false trading, Tmall Global will, depending on the severity of the circumstances, impose enforcement actions such as closing the order, new orders not counting towards sales volume and/or not allowing for reviews, deleting the credit rating of false transactions, deleting the credit rating, give warning, require identity verification, impose restrictions on establishment of new stores, restriction of web communication, restriction of posting goods, restriction on website login, restriction on Aliwangwang login, restriction on Buyer activities, restriction on filing complaints and extending transaction timeout periods etc. 

第四十八条  延迟发货:是指除中国及发货地法定节假日外,跨境电商保税进口的商品商家实际未在买家付款后96小时内发货,海外直邮及跨境电商集货进口的商品商家实际未在买家付款后120小时内发货,或定制、预售及其他特殊情形等另行约定发货时间的商品,商家实际未在约定时间内发货,妨害买家购买权益的行为。商家的发货时间,以快递公司系统内记录的时间为准。规则解读

Article 48 Delayed delivery: Delay of delivery is the behaviors that happen at any time except the statutory holidays of China and the place of delivery, which will harm the buyer’s rights and interests, including no delivery of the bonded imported goods by the cross-border-e-commerce seller within 96 hours after the buyer makes payment, no delivery of the collectively imported goods by the cross-border-e-commerce seller and the goods with overseas direct delivery service within 120 hours after the buyer makes payment, no delivery of the customized, pre-sale or other goods for which the delivery time is otherwise agreed within the agreed time. The delivery time is subject to the time recorded in the express company system.Interpretation of the rules.

延迟发货的,商家需向买家支付该商品实际成交金额的百分之三十(金额最高不超过人民币伍佰元)作为违约金。

Where there is delayed delivery, the Merchant must pay thirty percent (30%) of the actual transaction amount of the goods to the Buyer as compensation (amount capped at RMB500).

延迟发货情节严重的,下架商品;

If a merchant delayed a shipment for an unreasonable period of time, Tmall has the right to take its goods off the shelf;

延迟发货情节严重且买家发起投诉后商家未在天猫国际客服介入且判定投诉成立前主动处理的,除须向买家赔付外,每次扣1分(30天内累计扣分不超过6分)。
If a merchant delayed a shipment for an unreasonable period of time and it did not take the initiative to deal with the problem after the buyer files a complaint and before Tmall Global Customer Service intervenes and confirms the complaint, the merchant shall compensate the buyer, and Tmall will deduct one point from its credit account for each complaint (at most 6 points can be deducted within 30 days accumulatively).


以下不支持延迟发货赔付情形,买家发起延迟发货赔付申请的,由买卖双方自行协商处理:
The buyer and the merchant shall resolve their dispute through negotiation, if the buyer applies for a compensation in the following circumstances where compensation for delayed shipment does not apply:

1、由于消费者未及时提供身份证信息导致商家无法及时发货,则延迟发货不成立;
1. If the buyer fails to provide correct ID information in time resulting in that the merchant cannot deliver the goods in time, the merchant shall not be held responsible for the delay;

2、春节等节假日期间由于快递休假无法揽收导致无法发货的情况,则顺延发货时间;
2. During the Spring Festival and other holidays, the shipping date may be postponed because the relevant courier companies close for holiday;

3、滥用延迟发货规则的;
3. When the buyer is found abusing the shipping delay policy;

4、非基于生活消费所需进行的购买;
4. When the buyer purchases things he or she does not need for daily life;

5、商品本身或信息涉嫌违法违规的,为保障买家权益,天猫国际要求商家立即停止发货的;
5. If the goods purchased by the buyer or their related information is suspected of violating the law and regulations, Tmall Global has the right to demand the merchant to terminate the shipment immediately to protect the rights and interests of the buyer;

6、因水灾、火灾、地震等不可抗力特殊情形导致商家无法按照约定时间发货;
6. Due to force majeure such as flood, fire, and earthquake, the merchant cannot deliver the goods within the agreed time;

7、因政府重大会议、重大赛事、海关原因等不可抗力特殊情形导致商家无法按照约定时间发货。
7. The merchants are unable to deliver the goods within the agreed time due to special reasons or force majeure such as major government meetings, major events, and customs detention.

第四十九条  描述不符:是指买家收到的商品或经天猫国际官方抽检的商品与达成交易时商家对商品的描述不相符,商家未对商品瑕疵、保质期、附带品等必须说明的信息进行披露,妨害买家权益的行为,包括以下情形:

Article 49 Misrepresentation: refers to where the description of a good provided by the Merchant does not match the good received by a Buyer, or the good officially sample tested by Tmall Global or the Merchant has not disclosed necessary information of a good such as its defects, shelf life, associated goods etc., thereby adversely affecting the rights and interests of the Buyer, which includes the following scenarios:

(一)卖家对商品材质,成份等信息的描述与买家收到的商品严重不符,或导致买家无法正常使用的;天猫国际删除该描述不符的商品,首次扣六分,再次及以上违规的,每次扣十二分;

Where the description of a good’s materials, composition and other information provided by a Seller is seriously inconsistent with the goods received the Buyer, preventing the Buyer from using such goods normally; Tmall Global will delete such goods, and deduct six (6) points for the 1st violation, twelve (12) points for the 2nd and each subsequent violations;  

(二)卖家未对商品瑕疵等信息进行披露或对商品的描述与买家收到的商品不相符,且影响买家正常使用的;天猫国际下架该描述不符的商品,每次扣六分;

Where a Seller does not disclose a good’s defects and other information, or where the description of a good is inconsistent with the good received by the Buyer, preventing the Buyer from using such goods normally; Tmall Global will take such goods off the shelf, and deduct six (6) points for each violation; 

(三)卖家未对商品瑕疵等信息进行披露或对商品的描述与买家收到的商品不相符,但未对买家正常使用造成实质性影响的,每次扣三分;

Where a Seller does not disclose a good’s defects and other information, or where the description of a good is inconsistent with the good received by the Buyer but does not prevent the Buyer from using such goods normally, three (3) points will be deducted for each violation; 

(四)被抽检商品描述不符情形特别轻微的,只删除商品信息不扣分。

Where a good that has been sample tested is found to have minor misrepresentations, such goods will be deleted but no points will be deducted. 

第五十条  违背承诺:是指商家未按照承诺向买家提供以下服务妨害买家权益和/或未按照承诺向天猫国际履行以下义务的行为。违背承诺的,商家须继续履行法定或约定的如实描述、赔付、发货方式、退货、到货时效、换货、维修等义务。 

Article 50 Breach of Undertaking: refers to a Merchant’s failure to provide the following services to Buyers according to its undertaking, thereby adversely affecting the rights and interests of Buyers and/or failure to undertake the following obligations to Tmall Global. Where a Merchant breaches their undertakings, they must continue to perform their statutory or agreed obligations such as providing accurate descriptions, compensation, method of delivery, return of goods, timeframe for the arrival of goods, goods exchange, repairs etc. 

(一)商家发布的商品显示为邮件报关商品,即海外直邮商品,但实际为使用国内保税仓发货的,视为严重违规行为,第一次扣六分,第二次扣十二分,第三次扣四十八分。
The goods released by the merchant were displayed as postal declared goods, i.e., goods that were shipped directly overseas, but the actual delivery was from a bonded warehouse in China. This is regarded as a serious violation. The point deduction for the first time is six points, for the second time it is twelve points, and for the third time it is forty-eight points.

(二)商家违背以下任一承诺的,每次扣六分:

Where a Merchant breaches any of the following undertakings, six (6) points will be deducted for each violation: 

1. 天猫国际判定商家确实应该承担退货退款等售后保障责任但商家拒绝承担的;

Where a Merchant refuses to bear the after-sales service responsibilities determined by Tmall Global such as goods return, refund etc.; 

2. 商家参与“试用中心”的活动,但却在买家报名成功后拒绝向买家发送或延迟发送已承诺提供的试用商品的;

Where a Merchant participates in a “Goods Sampling Center” activity, but after Buyers successfully apply to participate in such activity, the Merchant refuses to deliver or delays in delivering such sample goods to the Buyers; 

3. 买家选择支付宝担保交易,但商家拒绝使用的;

Where a Buyer selects Alipay as a means of payment, but the Merchant refuses to use it; 

4. 加入信用卡付款服务的商家,拒绝提供或者拒绝按照承诺的方式提供前述服务的;

Where a Merchant participates in credit card payment services, but refuses to provide the aforementioned services or refuses to provide the aforementioned services in the mannered agreed; 

5. 商家要求买家退货至中国大陆(不含港澳台)以外的国家或地区的;

Where a Merchant requires Buyers to return the goods to countries or places outside of Mainland China (excluding Hong Kong, Macau and Taiwan); 

6. 加入天猫国际、天猫、淘宝网官方活动的商家,未按照活动要求(除发货时间外)履行的;

Where a Merchant participates in Tmall Global, Tmall.com Platform and Taobao Marketplace official activities but do not carry out such activities in accordance with the requirements of those activities (except for requirements regarding the time of goods dispatch);

7.拒绝履行召回责任:因商家提供的商品不合格或存在缺陷、涉及重大安全风险或发生重大质量安全问题,或因商品质量问题危及天猫国际名誉,或经天猫国际决定召回的,商家未履行召回义务,每次扣6分;情节严重者,平台有权清退商家。

Where a Merchant refuses to perform the responsibility for product recall: if the Merchant fails to recall its products that are found to be substandard or defective, involve major safety risks or have caused major quality safety accidents, or jeopardize Tmall Global’s reputation due to the quality issue, or that Tmall Global requires to be recalled, six (6) points will be deducted for each violation; for serious violators, the platform has the right to terminate the cooperation with Merchant.

(三)商家违背以下任一承诺的,每次扣六分,商家应承当相应的后果和责任。如需继续履行的,天猫国际将督促商家继续履行其义务:

Where a Merchant breaches any of the following undertakings, six (6) points will be deducted for each violation, and Merchants are liable for the corresponding consequences and liabilities. Where the undertakings must be continuously carried out, Tmall Global will remind the Merchant to continue carrying out its obligations: 

1. 海外直购商品如产生清关税金,商家承诺承担却拒绝支付清关税金;

Overseas directly purchased goods, where a Merchant undertakes to cover the customs duties incurred but refuses payment; 

2. 商家通过阿里旺旺等方式引导买家在天猫国际外进行交易的。

Where a Merchant advises Buyers to trade outside of Tmall Global through Aliwangwang and other means. 

(四)商家就已付款订单或特殊情形下对商品或服务有未履行的其它承诺的,每次扣四分。

Where a Merchant has not fulfilled other undertakings in relation to goods or services of an order that has already been paid or in special circumstances; four (4) points will be deducted for each instance. 

除上述列举的行为外,天猫国际官方发布的其他管理内容(包括但不限于规则、规范、类目管理标准、行业标准等)认为构成违背承诺行为的,从其规定。

Apart from the abovementioned examples, where an act is considered a breach of undertaking by other management content officially issued by Tmall Global (including but not limited to rules, regulations, category management standards, industry standards etc.), such breaches will be dealt with in accordance with the governing management content. 

第五十一条  恶意骚扰:是指会员采取恶劣手段骚扰他人,妨害他人合法权益的行为。恶意骚扰的,每次扣十二分。

Article 51 Malicious harassment: refers to a Member’s harassment of others through malicious means, which adversely affects the legal rights and interests of others. Twelve (12) points will be deducted for each violation. 

第五十二条  未公开或更新营业执照/经营主体身份信息:指未在天猫国际规定的期间内公开或及时更新其营业执照/经营主体身份信息的行为。未公开或更新营业执照/经营主体身份信息的,或未在其营业执照/经营主体身份信息变更完成之日起三十天内更新的,每次扣十二分,商家需公开或更新其营业执照/经营主体身份信息。 

Article 52 Failure to publicize or update business license information / identity information of the operating entity: refers to the failure to publicize or update business license information / identity information of the operating entity within the period specified by Tmall Global. In the case of failure to publicize or update business license information / identity information of the operating entity, or failure to update business license information / identity information of the operating entity within thirty (30) days of the update, twenty (20) points will be deducted for each violation. A Merchant must publicize or update business license information / identity information of the operating entity. 

第五十三条  不当使用他人权利:是指用户发生以下任一行为:

Article 53 Misuse of another’s rights: refers to any of the following acts carried out by Users:

(一)商家在所发布的商品信息或所使用的店铺名、域名等中不当使用他人商标权、著作权名称权、名誉权、肖像权等权利的;

A Merchant misuses another’s rights such as trademark, copyright, reputation or portraiture right in the information of goods it posts, its store name or domain name etc.;

(二)商家出售商品涉嫌不当使用他人商标权、著作权、专利权、名称权、肖像权等权利的;

The goods sold by a Merchant may violate another’s trademark, copyright, patent, name, portraiture right etc. 

(三)商家所发布的商品信息或所使用的其他信息造成消费者混淆、误认或造成不正当竞争的。

 Information of goods posted by a Merchant or other information used by the Merchant gives rise to consumer confusion, misidentification or results in unfair competition.

不当使用他人权利的,天猫国际删除会员所发布的不当使用他人权利的商品或信息,每次扣两分,同一权利人在三天内对同一商家的投诉视为一次投诉。

In the case of a misuse of another’s rights, Tmall Global will delete all goods or information that constitutes a misuse of another person’s rights. Two (2) points will be deducted for each violation. Complaints made by the same rightholder against the same Merchant within three (3) days will be deemed as the same complaint. 

第五十四条  未按指定方式收集买家身份证信息:指商家须根据相关法律法规规定,并按照天猫国际要求的规范及合理的方式收集买家身份证信息,具体包括通过店铺阿里旺旺引导买家通过线上方式提交,对收集身份证信息的目的及使用方式向消费者进行释明,不应重复要求买家提交;未按指定方式收集的,每次扣三分。主要包括如下行为:

Article 54 Failure to collect identification card information from a Buyer via the prescribed method: refers to where a Merchant must, in accordance with relevant laws and regulations andTmall Global’s requirements and by using reasonable means, submitted through the online mode to guide Buyer through the store’s Aliwangwang, explanation to consumers of the purpose of collection and use of identity card information, must not repeatedly request Buyers to provide such information; three (3) points will be deducted for each instance of failure to collect identification card information via the prescribed method, which primarily includes:

(一)未正确引导买家提交身份证信息;

Failure to properly route Buyer submit identification card information;

(二)未使用店铺阿里旺旺进行沟通;

Failure to communicate via the store’s Aliwangwang;

(三)针对同一用户,重复要求买家提交。

 Repeated requests sent to the same Buyer. 

第五十五条 滥用会员权利,是指会员滥用、恶意利用天猫国际所赋予的各项权利而损害他人合法权益、妨害天猫国际平台商业经营秩序的行为。对于滥用会员权利的账户,天猫国际将视情节严重程度可采取屏蔽评论内容、评分不累计、限制买家行为、查封账户等措施。对于滥用会员权利而获得的不当利益(包括但不仅限于消费红包等),天猫国际将采取收回、作废、失效等利益追回类措施。对滥用权利产生的订单采取销量不累计、关闭订单等措施。商家有权使用天猫国际所赋予的各项工具,如商家滥用工具的,每次扣四分,滥用工具情节严重的,将取消商家使用工具的权益。

Article 55  Abusing user privileges refers to users misusing or maliciously using the privileges conferred by Tmall Global to infringe upon the lawful rights and interests of others or impair the orderly business operation of the Tmall Global platform.For accounts that misuse user privileges, Tmall Global will enact measures based on the severity of the offense, including blocking the users’ comments, stopping the accumulation of points, restricting buyer activity, closing the users’ accounts etc.With regard to the improper gains acquired by misusing user privileges (including but not limited to consumer red envelopes), Tmall Global will enact measures including the retraction, cancellation and invalidation of these gains.For orders generated by the misuse of privileges, the measures to be taken include cancelling the orders, not counting the sales, etc.Shop owners are entitled to use the tools provided by Tmall Global. If shop owners misuse these tools, 4 points will be subtracted each time. In serious cases, shop owners will lose the right to use these tools.

第五节  违规的执行

Section 5 Enforcement of Violations

第五十六条  用户的违规行为,通过天猫国际会员、权利人的投诉或天猫国际排查发现。 

Article 56 Violations by Users are to be detected by complaints by Tmall Global Members, rightholders or Tmall Global’s investigation. 

第五十七条  对违规行为的投诉,除滥发信息、虚假交易、不当注册、发布违禁信息、出售假冒商品、假冒材质成份、不当使用他人权利、盗用他人账户、泄露他人信息、发布非约定商品可随时提交投诉外,其余须在以下规定时间内进行投诉;未在规定时间内投诉的,不予受理:

Article 57 Besides complaints of spam, false trading, improper registration, posting prohibited information, selling counterfeit goods, misrepresentation of material composition, misuse of another’s rights, misappropriation of another’s account, disclosure of another’s information and posting of unauthorized goods which can be submitting at any time, complaints of other violations must be submitted within the following time limit, otherwise Tmall Global will not accept such complaints:

(一)违背承诺的投诉时间为交易关闭后十五天内;

A complaint for breach of undertaking must be made within fifteen (15) days of the closing of the transaction; 

(二)描述不符、骗取他人财物的投诉时间为交易成功后十五天内。

A complaint of misrepresentation, misappropriation of another’s property must be made within fifteen (15) days of a successful transaction. 

第五十八条  对延迟发货、违背承诺及恶意评价的违规行为,被投诉人须在被投诉之日起两天内提交证据。逾期未提交证据的,天猫国际有权根据当时所掌握的情况进行判断与处理。对其余违规行为的判断与处理,天猫国际在收到投诉后立即进行。 

Article 58 In relation to violations such as delayed delivery, breach of undertaking and reviews made in bad faith, the respondent must submit evidence within two (2) days from the filing of the complaint. If no evidence is submitted within two (2) days, Tmall Global will have the right to make a determination based on the information available to it at the time. With respect to the determination of other violations, Tmall Global will immediately make the determination after it receives the complaint. 

第五十九条  商家自行作出的承诺或说明与本规则相悖的,天猫国际不予采信。除证据有误或判断错误的情形外,对违规行为的处理不中止、不撤销。 

Article 59 Tmall Global will not accept undertakings or statements made by a Merchant that contradict these Rules. Tmall Global will not suspend or cancel its determinations, unless there are circumstances where there are errors in evidence or errors in judgment. 

第六章  其他规定

第六十条  法律适用、管辖及其他:本协议之效力、解释、变更、执行与争议解决均适用香港法律。任何您与公司因本协议或服务所引起或与其有关的任何争议均应根据提交仲裁通知时有效的《香港国际仲裁中心机构仲裁规则》通过香港国际仲裁中心在香港进行仲裁解决,仲裁员仅一名,仲裁语言为英文。

Chapter 6 Miscellaneous Provisions 

Article 60  Governing law, jurisdiction and others: the effect of this Agreement, its interpretation, amendment, execution and dispute resolution are governed by the laws of Hong Kong. Any dispute between you and Tmall Global arising from or in connection with this Agreement or the Services will be settled by arbitration at the Hong Kong International Arbitration Centre in accordance with the rules in force at the time of notification of the arbitration. There will be one arbitrator and the language of arbitration will be English.

如中英文版本间存在任何歧义的,以中文版为准。

IN CASE OF ANY INCONSISTENCY BETWEEN THE TWO LANGUAGE VERSIONS, THE CHINESE VERSION SHALL PREVAIL.
